Terms & Conditions
Effective 26 October 2026 · Last updated 26 October 2026
These Terms & Conditions govern your use of this website and any services provided by AWAS Marketing ("AWAS", "we", "us") to you ("Client", "you"). By using this website or engaging our services, you agree to these terms.
1. Our services
AWAS provides end-to-end B2B and B2C lead generation services on Meta platforms (Facebook and Instagram), including lead strategy, audience planning, ad creative and copy, qualifying lead forms, campaign management, optimisation and reporting. The exact scope, deliverables, timelines and fees for each client are set out in a written proposal or statement of work ("SOW").
2. Proposals and agreements
An engagement begins when you accept our proposal or SOW in writing, by email or by signature, and pay any advance due. If anything in an SOW conflicts with these terms, the SOW prevails for that engagement.
3. Fees, ad spend and payment
- Management fees are as stated in the SOW and are separate from advertising spend.
- Ad spend is paid by you directly to Meta through your own ad account and payment method, unless agreed otherwise in writing.
- Invoices are payable within [7] days of issue. GST and other applicable taxes are charged in addition.
- We may pause work on an engagement while any invoice remains overdue.
- Fees already paid are non-refundable for work performed.
4. Your responsibilities
To get the best results, you agree to:
- Give us timely access to your Meta Business Manager, ad account, page and any CRM or tools needed.
- Provide accurate information about your business, offers, pricing and ideal customer.
- Review and approve creatives, copy and lead forms within the agreed time.
- Follow up on leads promptly and share honest sales feedback on lead quality. This feedback is essential to improving qualified-lead ratios.
- Ensure your products, services, offers and claims are lawful and comply with Meta's advertising policies.
5. Performance targets and results
Our work is aimed at improving the quality of your leads, measured by your qualified-lead ratio. For each engagement we agree with you, in writing, what counts as a qualified lead and the target we are working towards.
Advertising results depend on factors outside our control, including Meta's algorithms and policies, market conditions, competition, your offer and pricing, and how quickly and well your team follows up. Except where expressly stated in your SOW, we do not guarantee any specific number of leads, sales, revenue or return on ad spend. Past results shown on this website reflect our work across clients and are not a promise of future results for any single business.
6. Meta platforms
Campaigns run on platforms owned by Meta Platforms, Inc. and are subject to its terms and policies. We are not responsible for ad rejections, account restrictions, policy changes, platform outages or reporting errors caused by Meta. If such an issue arises, we will work with you to resolve it as quickly as possible.
7. Ownership of accounts and data
You own your ad account, business pages, pixel, audiences and the lead data your campaigns generate. We work through partner access that you grant, and you may remove it at any time. At the end of an engagement we will hand over any assets set up for you and remove our access.
8. Intellectual property
Once all fees for an engagement are paid in full, you own the final ad creatives and copy produced specifically for you. AWAS retains ownership of its methods, frameworks, templates, tools and know-how. We may refer to you as a client and describe our work in general terms only with your permission.
9. Confidentiality
Each party will keep confidential any non-public information it receives from the other, including business plans, pricing, campaign data and lead data, and will use it only for the engagement. This obligation continues after the engagement ends.
10. Data protection
We handle personal data as described in our Privacy Policy. For lead data generated by your campaigns, you are the Data Fiduciary and we act as your Data Processor under the Digital Personal Data Protection Act, 2023. You are responsible for the notices and consents shown on your lead forms and landing pages.
11. Term and termination
Either party may end an engagement with [30] days' written notice, unless the SOW states otherwise. Either party may end it immediately if the other materially breaches these terms and does not fix the breach within [15] days of written notice. Fees for work done up to the end date remain payable.
12. Limitation of liability
To the extent permitted by law, AWAS is not liable for any indirect, incidental or consequential loss, including loss of profit, revenue or business opportunity. Our total liability for any claim relating to an engagement is limited to the management fees you paid us in the three months before the claim arose.
13. Indemnity
You agree to indemnify AWAS against claims arising from your products, services, offers, the content and information you provide to us, or your breach of applicable law or Meta's policies.
14. Use of this website
The content on this website is for general information about our services. You may not copy, reproduce or misuse it, or use the website for any unlawful purpose.
15. Governing law and jurisdiction
These terms are governed by the laws of India. Courts at New Delhi shall have exclusive jurisdiction over any dispute arising from them.
16. Changes to these terms
We may update these terms from time to time. The version on this page applies from its effective date. Existing engagements continue under the terms agreed in their SOW.
